1. The Service

Sidekick provides a software-as-a-service platform that assists users during sales discovery calls and with follow-up afterward, including live call guidance, summaries, notes, and follow-up drafts generated from user-provided inputs.

The Service is licensed, not sold. No ownership rights are transferred to you under these Terms. Service availability may vary, and we do not guarantee uninterrupted or error-free operation.

2. License Grant

Subject to these Terms, Sidekick grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Service for your personal or internal business purposes during the term of your subscription.

• Reverse engineer, decompile, or attempt to derive the Service’s source code or algorithms
• Copy, resell, sublicense, or redistribute the Service
• Use the Service in violation of applicable law

3. What Sidekick Is — and Is Not

• Sidekick processes audio and text only when intentionally initiated by you, including audio captured from your own microphone or content you explicitly upload or paste.
• Sidekick does not automatically join meetings, intercept third-party audio streams, monitor conversations, or function as a surveillance or call-recording system.
• Sidekick does not permanently store raw audio recordings. Only processed outputs (such as summaries, notes, or drafts) may be retained if and when you choose to save them.

You are solely responsible for complying with all applicable laws and regulations, including call-recording, wiretapping, and consent laws, and for providing any required notices or disclosures to meeting participants before using microphone-based features.

4. User Responsibilities & Acceptable Use

• Use the Service lawfully and in compliance with all applicable laws
• Obtain all required consents before using microphone-based features
• Review and verify AI-generated outputs before relying on them
• Maintain the confidentiality of your login credentials
• You acknowledge that Sidekick is an assistive tool and does not replace professional judgment

You may not use the Service to engage in unlawful, harmful, or deceptive activity.

5. Data Ownership & Processing

You retain all right, title, and interest in and to your data and content submitted to the Service (“Your Data”).

You grant Sidekick a non-exclusive, worldwide, limited license to host, process, store, transmit, and display Your Data solely for the purpose of providing the Service to you, in accordance with these Terms and our Privacy Policy.

Sidekick does not use Your Data to train public or third-party models. Product improvements are informed by direct user feedback and internal review, not automated learning from customer content.

We implement reasonable administrative, technical, and organizational safeguards but do not guarantee absolute security.

6. Indemnification

You agree to defend, indemnify, and hold harmless Sidekick Technologies LLC and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Service in violation of these Terms or applicable law
• Your recording, upload, or use of audio, text, or other content without required consent
• Claims that Your Data infringes, misappropriates, or violates the rights of any third party
• Your reliance on or use of AI-generated outputs without independent review

7. Disclaimers & Limitation of Liability

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Sidekick disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.

You acknowledge that outputs generated by the Service may be inaccurate or incomplete, and that you are solely responsible for reviewing and validating all outputs before relying on them.

To the maximum extent permitted by law, Sidekick shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption.

Sidekick’s total liability arising out of or related to the Service shall not exceed the amount paid by you to Sidekick in the twelve (12) months preceding the event giving rise to the claim.
